The Offer contained in the Prospectus is an invitation for you to apply for fully paid ordinary shares (Shares) in Tamboran Resources Limited ACN 135 299 062 (Company). The Prospectus is issued by the Company. The information on this page is not part of the Prospectus.

If you are unclear in relation to any matter, or you are uncertain as to whether the Company is a suitable investment for you, you should seek professional guidance from your solicitor, stockbroker, accountant or other independent and qualified professional adviser before deciding whether to invest in Shares.

You should ensure that any copy of the Prospectus you view or print is complete. To the extent permitted by law, the Company is not liable for any loss incurred from accessing or downloading the Prospectus from this website, including, but not limited to, data corruption on download.

Lodgement and listing

The replacement prospectus is dated 4 June 2021 (Replacement Prospectus) and a copy has been lodged with the Australian Securities and Investments Commission (ASIC). The Replacement Prospectus replaced in full the prospectus dated 21 May 2021 that was issued by the Company and lodged with ASIC on that date (Original Prospectus). The Replacement Prospectus is supplemented by a supplementary prospectus dated 17 June 2021 (Supplementary Prospectus) (together, the Replacement Prospectus and Supplementary Prospectus are referred to as the Prospectus).

The Company has applied to ASX Limited (ASX) within seven days after the date of the Original Prospectus for admission of the Company to the official list of ASX and quotation of its Shares on ASX. 

None of ASIC, ASX or their respective officers takes any responsibility for the content of the Prospectus or for the merits of the Offer.

Expiry Date

The Prospectus expires on the date that is 13 months after the date of the Original Prospectus (Expiry Date).


The Corporations Act prohibits the Company from processing applications to subscribe for, or acquire, Shares offered under the Prospectus (Applications) in the seven day period after lodgement of the Original Prospectus with ASIC (Exposure Period). This Exposure Period may be extended by ASIC by up to a further seven days (i.e. up to a total of 14 days). The Exposure Period under the Corporations Act has ended and the Company is now permitted to accept and process Applications from the opening of the Offer.

Applications for Shares may only be made during the Offer period on the relevant Application Form attached to or accompanying the Prospectus. By making an Application, you declare that you were given access to the Prospectus, together with an Application Form. The Corporations Act prohibits any person from passing the Application Form on to another person unless it is attached to, or accompanied by, the Prospectus in its paper copy form or the complete and unaltered electronic version of the Prospectus.
